GXO intends to use the net proceeds from the sale of the notes, together with borrowings under its previously announced term loan credit agreement entered into on March 29, 2024, to fund its pending acquisition of Wincanton plc (“Wincanton”), to fund the redemption, repayment, prepayment or satisfaction and discharge or other payment in satisfaction of indebtedness of the company and its subsidiaries, to pay fees and expenses in respect of the foregoing, and for general corporate purposes. The offering is subject to market and other conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering.
